ECOLIT STORE LIMITED – TERMS AND CONDITIONS OF SERVICE FOR BUYERS

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS PLATFORM.

1. ACCEPTANCE OF TERMS

1.1 These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Buyer," "Customer," "You," or "Your") and Ecolit Store Limited ("Ecolit Store," "We," "Us," or "Our"), a company duly registered under the laws of Kenya.

1.2 By accessing, browsing, or using our website located at www.ecolitstore.com (the "Platform"), creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Returns & Refunds Policy, all of which are incorporated herein by reference.

1.3 If you do not agree to all of these Terms, you must not access or use the Platform.

2. DEFINITIONS

2.1 "Platform" means the Ecolit Store website, mobile application, and related services.
2.2 "Vendor" or "Seller" means an independent, third-party business registered and vetted by us to sell products on the Platform.
2.3 "Product" means any renewable energy item, electrical appliance, or related good listed for sale by a Vendor on the Platform.
2.4 "Technician Service" means installation, repair, maintenance, or consultation services provided by an independent, third-party technician vetted by us and booked through the Platform.
2.5 "Order" means your offer to purchase a Product from a Vendor or book a Technician Service.

3. NATURE OF OUR SERVICE – AGENCY DISCLAIMER

3.1 Marketplace, Not Retailer. Ecolit Store operates as an online marketplace and commercial agent. We provide a platform that facilitates transactions between independent Vendors and Buyers, and connections between independent Technicians and Buyers. WE ARE NOT THE SELLER OF THE PRODUCTS OR THE PROVIDER OF TECHNICIAN SERVICES. We do not own, warehouse, manufacture, or take title to any products listed.

3.2 Contract Formation. The contract for the sale of a Product is formed directly between you and the Vendor upon our confirmation of your Order. The contract for a Technician Service is formed directly between you and the Technician upon your acceptance of their quote. We act as the disclosed commercial agent for the Vendor in the sales transaction and as a facilitator for the service connection.

3.3 Limitation of Liability. To the fullest extent permitted by Kenyan law, Ecolit Store is not liable for:
- a) The quality, safety, legality, or availability of any Product listed by a Vendor.
- b) The accuracy of product descriptions, images, or warranties provided by Vendors.
- c) The workmanship, quality, timeliness, or legality of any Technician Service.
- d) Any acts, omissions, or breaches by Vendors or Technicians.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Platform.
4.2 You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
4.3 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. ORDERS, PRICING, AND PAYMENT

5.1 Pricing. All prices are in Kenyan Shillings (KES) and inclusive of Value Added Tax (VAT) at 16%, where applicable. Prices are set by Vendors and may change at any time. The price charged is the price displayed on the Platform at the time your Order is confirmed by us.
5.2 Delivery Charges. Delivery charges are NOT included in the listed Product price. They are calculated based on the Vendor's location and your delivery address. You will be presented with the final total (Product Price + Delivery Charge) for your approval before your payment is processed.
5.3 Payment. You agree to pay the total amount due for your Order using one of our approved payment methods. Payment is processed securely through our third-party payment processors. By submitting payment details, you confirm you are authorized to use that payment method.
5.4 Payment Security. We hold your payment as an agent for the Vendor. Upon your confirmation of successful delivery, we release the payment (minus our commission) to the Vendor.

6. DELIVERY AND TITLE

6.1 Delivery Estimates. Any delivery dates or times provided are estimates only and are not guaranteed. We (and our Vendors) are not liable for any delays due to unforeseen circumstances, courier delays, or incorrect address details provided by you.
6.2 Delivery Inspection. You must inspect the Products upon delivery. You are required to note any visible damage, shortage, or incorrect items on the courier's delivery note before signing. Failure to do so may affect your right to return.
6.3 Title and Risk. Title to the Product (ownership) passes to you upon full payment. However, risk of loss or damage to the Product passes to you upon delivery to the address you specified.

7. RETURNS, REFUNDS, AND WARRANTIES

7.1 Governed by Policy. All returns and refunds are strictly governed by our Returns & Refunds Policy, which is incorporated into these Terms.
7.2 Vendor Warranties. Any warranty offered with a Product is provided by the Vendor or manufacturer, NOT by Ecolit Store. We facilitate the initial warranty claim process, but the Vendor is solely responsible for honoring the warranty terms.
7.3 Technician Services. Refunds or rework for Technician Services must be negotiated directly with the Technician. We may assist in mediating disputes but have no obligation to provide refunds for services.

8. TECHNICIAN SERVICES – SPECIFIC TERMS

8.1 Independent Contractors. Technicians are independent contractors, not employees or agents of Ecolit Store. We vet Technicians but do not guarantee their work.
8.2 Quotes and Payment. The Technician in collaboration with Ecolit Store will provide you with a service quote. Payment for the service is made directly to Ecolit Store. Ecolit Store may charge a separate platform facilitation fee.
8.3 Your Responsibility. You are responsible for:
- a) Providing a safe and accessible work site.
- b) Verifying the Technician's identity and credentials upon arrival.
- c) Ensuring you understand the scope and price of work before it commences.

9. USER CONDUCT AND PROHIBITED ACTIVITIES

You agree not to:

• Use the Platform for any illegal or unauthorized purpose.

• Violate any laws in your jurisdiction (including copyright laws).

• Submit false or misleading information.

• Interfere with or disrupt the integrity or performance of the Platform.

• Attempt to gain unauthorized access to the Platform or its related systems.

10. INTELLECTUAL PROPERTY

All content on the Platform (text, graphics, logos, software) is our property or the property of our licensors and is protected by Kenyan and international copyright laws. You are granted a limited, non-exclusive license to access and use the Platform for personal, non-commercial use.

11. LIMITATION OF LIABILITY

11.1 TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW, ECOLIT STORE LIMITED, ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, PRODUCTS, OR TECHNICIAN SERVICES.
11.2 OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US (AS OUR COMMISSION/FEE) FOR THE SPECIFIC ORDER OR SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Ecolit Store Limited and its affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your use of the Platform, Products, or Technician Services; or (c) your violation of any law or the rights of a third party.

13. TERMINATION

We may suspend or terminate your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.
14.2 Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Kenya, located in Nairobi.

15. CHANGES TO TERMS

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of changes by posting the new Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
